About Alan

With over thirty years of experience, Alan approaches each matter with an understanding of how a discrete issue can impact many facets of an organization. Alan employs these skills in serving as counsel to several corporations, handling a broad range of corporate, transactional and litigation matters. He has the ability to quickly identify and resolve issues, and enlist specialists for discrete tasks when needed.

Alan represents real estate lenders, developers, investors and companies with general real estate needs. He negotiates purchase and sale agreements, leases, easements, and options and handles foreclosures, work-outs, and short sales for lenders. He has also litigated real estate tax sales, the enforcement of loan documents, and title disputes. Alan represents both lenders and borrowers on sophisticated real estate financing matters including bond transactions, New Market Tax Credit deals, non-profit lending, seller take-back financing, REIT transactions and hard money lending. Alan has closed deals in Texas, California, Minnesota, Florida, North Carolina, Indiana, Idaho, New York, Delaware, New Jersey, Massachusetts, Pennsylvania, Maryland, Arizona, Virginia, the District of Columbia, Ohio, New Mexico, Colorado, and Illinois.

Alan is proficient in all civil litigation matters with significant experience in state and federal court practice in addition to arbitrations and mediations.

Alan assists companies and employees on employment related matters. He has negotiated complex employment and benefit agreements for senior executives of Fortune 100 companies. Alan has drafted employment agreements, independent contractor agreements, severance arrangements and noncompete agreements. Alan has litigated employment contracts when negotiations have stalled or immediate action is required.

Alan assists start-up companies with corporate structure, debt and equity financing, and compliance matters. Alan has also negotiated corporate restructuring and buy-out matters.

Alan previously practiced with the international law firm of Akin, Gump, Strauss, Hauer and Feld where he was a partner in the litigation department. He studied political science at the University of Edinburgh and received his B.A. from Middlebury College. He earned his law degree from Georgetown University. Alan achieved the highest (AV) rating for legal ability and ethics by his peers as compiled by Martindale Hubbell.
